1. Acceptance of Terms

These Terms govern your use of Inventory Guard, a product developed and operated by OsmouTech. By installing and using the Inventory Guard Shopify application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service and Data Access

Inventory Guard is an Inventory Incident Response platform for Shopify.

The App monitors inventory changes, detects suspicious activity, analyzes the most likely cause of incidents, sends alerts, and provides safe recovery tools when appropriate.

Inventory Guard operates using Shopify's official APIs and webhooks and acts as a visibility and recovery layer for merchants using ERPs, 3PLs, and other inventory synchronization systems.

Data Access: To provide advanced features like Order-Aware Analytics, the App requires access to certain Shopify Protected Customer Data (such as limited order and fulfillment information). By installing the App, you explicitly grant us permission to access this data for the sole purpose of delivering the App's functionality.

3. Data Processing and Analytics

By using the App, you agree that we act as a data processor on your behalf. We process the minimum amount of personal data required to provide value to you (the merchant). We do not use this data for any other purposes, and we are committed to maintaining appropriate privacy and data protection safeguards in accordance with our Privacy Policy and applicable laws.

Product Analytics: We utilize third-party analytics services, such as PostHog, to collect aggregated usage data (e.g., feature adoption, incident volumes) to improve the App. This telemetry data does not include your end-customers' Personally Identifiable Information (PII).

4. Subscriptions and Billing

We offer both free and paid subscription plans. All billing for paid plans is handled directly through Shopify's billing system. By selecting a paid plan, you agree to pay the applicable fees in accordance with Shopify's billing cycle. You may cancel your subscription at any time by uninstalling the App or downgrading to the free plan within your Shopify admin panel. Refunds are subject to Shopify's standard policies.

5. Inventory Reverts and Disclaimers

Crucial Warning Regarding Reverts: The Safe Revert functionality is provided to assist you in correcting unintended inventory drops. While we utilize relative delta adjustments (e.g., adding stock back rather than forcefully overwriting absolute values) to minimize conflicts, Safe Revert is provided as an operational recovery tool. Merchants are responsible for reviewing proposed recovery actions before execution.

• We do not guarantee that a revert will perfectly restore your inventory to its exact prior state, especially if concurrent orders or manual updates have occurred.
• You are responsible for reviewing the proposed revert actions before executing them.

6. Limitation of Liability

Inventory Guard is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by applicable law, in no event shall Inventory Guard, its affiliates, directors, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the App.

Specifically, we are not liable for any financial losses, overselling issues, or inventory discrepancies resulting from the failure of the App to detect an anomaly, delayed alerts, or the use of the revert feature.

7. Termination

You may terminate these Terms at any time by uninstalling the App from your Shopify store. We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice, if you violate these Terms or if we cease to offer the App.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page or via email. Your continued use of the App after such changes constitutes your acceptance of the new Terms.
